    Service Agreement & Conditions

    These Terms of Service govern your use of VisuArchitect's architectural visualization, 3D rendering, and CGI services. By engaging our services, you agree to be bound by these Terms.

    Note: These terms create a legally binding contract between you (the "Client") and VisuArchitect Limited (the "Company").

    Definitions & Interpretations

    For the purpose of these Terms, the following definitions, meanings, and interpretations apply:

    • "3D Visualization": Three-dimensional computer-generated imagery, renders, CGI, or digital graphics
    • "Deliverables": Final outputs, products, or files provided to the Client including images, animations, models, and source files
    • "Intellectual Property": Copyright, design rights, and other proprietary rights as opposed to public domain materials
    • "Business Day": Monday to Friday, excluding UK public holidays, weekends, and bank holidays
    • "Force Majeure": Unforeseeable circumstances, acts of God, or vis major preventing contract fulfillment
    • "GDPR": General Data Protection Regulation (EU) 2016/679 and UK GDPR
    • "SLA": Service Level Agreement defining performance standards
    • "VAT": Value Added Tax at the prevailing UK rate (currently 20%)

    1. Service Agreement

    1.1 Scope of Services

    • 3D architectural visualization, rendering, and photorealistic imagery services
    • Interior and exterior visualizations including facades, elevations, walls, windows, doors, and roofs
    • Animation, walkthroughs, virtual tours, fly-throughs, and 360° experiences
    • Planning application visuals, regulatory submissions, and compliance imagery
    • Post-production, image enhancement, and photomontage services

    1.2 Service Standards

    • Professional quality deliverables and outputs across all project stages
    • Timely, punctual, and prompt communication, updates, and correspondence
    • Strict adherence to agreed specifications, requirements, and briefs without deviation
    • Complete confidentiality of project information, data, and intellectual property
    • Industry-standard practices, methodologies, and established workflows

    1.3 Service Delivery Methods

    • Remote collaboration and cloud-based project management systems
    • Digital file transfer, transmission, and dispatch via secure encrypted channels
    • Iterative review process with milestone checkpoints and progress tracking
    • Comprehensive quality assurance protocols and verification procedures
    • Multi-format delivery options including JPG, PNG, PDF, MP4, and WebM

    2. Project Terms

    2.1 Project Initiation

    • Written quote approval, authorization, consent, and formal acceptance required
    • 50% deposit, advance payment, or retainer required to commence work
    • Clear and comprehensive project brief, specifications, and requirements documentation
    • Provision of necessary files, materials, assets including CAD files, plans, and references
    • Agreed timeline, schedule, timeframe, and milestone markers with defined deadlines

    2.2 Client Responsibilities

    • Provide accurate, precise, and thoroughly verified project information
    • Timely feedback, responses, and prompt approval decisions throughout the project
    • Clear and unambiguous communication of requirements, objectives, and expectations
    • Valid ownership rights, licenses, and permissions for all provided materials
    • Payment, remittance, and settlement according to agreed terms, conditions, and schedule

    2.3 Revision Policy

    • Number of revisions, iterations, changes, and modifications included per package
    • Additional revisions and extra amendments charged separately at hourly rates
    • Major scope changes and significant alterations require new quote and approval
    • All revision requests must be submitted in writing and documented form
    • Reasonable revision turnaround times and processing periods within delivery windows

    2.4 Project Communication Protocols

    • Designated points of contact and established communication channels
    • Regular progress updates, status reports, briefings, and project summaries
    • Clear escalation procedures for urgent and time-sensitive matters
    • Comprehensive documentation of all project decisions and changes
    • Preferred communication methods with guaranteed response times

    3. Payment Terms

    3.1 Payment Structure

    • Projects under £4,000: 50% deposit required upon approval, 50% balance on delivery
    • Projects over £4,000: Milestone-based payment structure adapted to project value
    • Typical milestones: 25% deposit, 25% after initial concepts, 25% mid-project, 25% on delivery
    • Payment schedules customized based on project scope, duration, and total value
    • Rush orders and expedited services incur 40% premium above standard rates
    • All prices exclude VAT, taxes, duties, and applicable government levies

    3.2 Payment Methods

    • Bank transfer, wire payment, BACS, or electronic funds transfer (preferred method)
    • Credit and debit card payments processed securely via Stripe payment gateway
    • PayPal available for international, overseas, and cross-border client transactions
    • Payment terms: Net 14 days with fortnightly settlement period
    • Late payment fees: 2% monthly interest and penalty charges apply

    3.3 Refund Policy

    • Full refund and complete reimbursement if work hasn't commenced
    • Partial refund and proportional return based on percentage of work completed
    • No refund after final delivery approval, acceptance, and client sign-off
    • Disputes resolved through discussion, negotiation, and mediation before legal action
    • Money-back guarantee, satisfaction warranty, and quality pledge applies

    3.4 Currency and Exchange

    • Quotes provided in GBP Sterling as standard currency
    • International clients may request USD or EUR pricing options
    • Exchange rates fixed at quote acceptance rather than floating rates
    • Currency conversion fees and charges borne by client
    • Multi-currency invoicing and billing available upon request

    3.5 Financial Security

    • PCI DSS compliant payment processing for all transactions
    • Secure SSL encryption for all financial data and transactions
    • No storage or retention of credit card details on our servers
    • Robust invoice authentication and verification procedures
    • Advanced anti-fraud measures and real-time transaction monitoring

    4. Intellectual Property

    4.1 Ownership Rights

    • Client owns final delivered visuals
    • VisuArchitect retains portfolio rights
    • Source files available for additional fee
    • Client warrants ownership of input materials
    • Third-party assets properly licensed

    4.2 Usage Rights

    • Unlimited use for agreed project
    • Commercial usage included
    • Attribution appreciated but not required
    • Resale of visuals prohibited
    • Modification rights included

    4.3 Portfolio Usage

    • VisuArchitect may showcase work
    • Client credited unless requested otherwise
    • Sensitive projects require permission
    • Marketing usage with client consent
    • Case studies with approval

    5. Confidentiality

    5.1 Confidential Information

    • Project details and specifications
    • Proprietary design information
    • Business strategies and plans
    • Financial information
    • Unreleased project information

    5.2 Non-Disclosure Agreement

    • Standard NDA available on request
    • Mutual confidentiality obligations
    • Exceptions for public information
    • Duration: 3 years post-project
    • Breach remedies specified

    6. Liability & Warranties

    6.1 Service Warranty

    • Services performed professionally
    • Deliverables meet specifications
    • Free correction of errors
    • 100% satisfaction guarantee
    • Quality assurance process

    6.2 Limitation of Liability

    • Liability limited to project value
    • No liability for consequential damages
    • Force majeure provisions apply
    • Reasonable care and skill exercised
    • Professional indemnity insurance held

    7. Termination

    7.1 Termination by Client

    • Written notice required
    • Payment for work completed
    • Return of client materials
    • No refund of deposits
    • Handover of work in progress

    7.2 Termination by VisuArchitect

    • Non-payment breach
    • Failure to provide materials
    • Unreasonable demands or conduct
    • Illegal or unethical projects
    • Extended project dormancy

    8. General Terms

    8.1 Governing Law

    • English law and UK legislation governs these terms and conditions
    • English courts and tribunals have exclusive jurisdiction and authority
    • Alternative dispute resolution and ADR preferred over court litigation
    • Good faith, sincere, and honest negotiations as first priority
    • Legal costs, solicitor fees, and court expenses follow the event principle

    8.2 Miscellaneous

    • Entire agreement clause representing complete and comprehensive contract
    • Amendments and modifications valid in writing only, not verbal agreements
    • Severability of individual provisions, clauses, and terms if deemed invalid
    • No waiver, relinquishment, or abandonment without written documentation
    • Assignment or transfer of rights requires prior written consent

    9. Data Protection & GDPR

    9.1 Personal Data Processing

    • GDPR compliant data handling, processing, and storage procedures
    • Lawful basis for processing through contract performance and legal justification
    • Data minimization principle applied avoiding excessive collection or retention
    • Strict purpose limitation and storage limitation policies enforced
    • Full respect for data subject rights including access, rectification, erasure, and portability

    9.2 Data Security Measures

    • Military-grade encryption and encoding of data in transit and at rest
    • Strict access controls and multi-factor authentication systems
    • Regular security audits, vulnerability assessments, and penetration testing
    • Rapid incident response and breach notification procedures within 72 hours
    • Comprehensive staff training on data protection obligations and GDPR compliance

    9.3 Third-Party Data Sharing

    • Absolute prohibition on sale or marketing of personal data to third parties
    • All subprocessors thoroughly vetted for GDPR compliance and security
    • Comprehensive data processing agreements in place with all partners
    • International transfers protected with appropriate safeguards and SCCs
    • Explicit client consent required for any data sharing activities

    10. Digital Service Clauses

    • Secure cloud storage infrastructure for all project files and assets
    • 99.9% uptime SLA guaranteeing file access and availability
    • Automated backups, version control, archives, and snapshot systems
    • Geographic redundancy for data protection

    10.2 Digital Communication

    • Electronic signatures, e-signatures, and digital autographs legally binding
    • Email communications form part of contract

    • Secure file transfer protocols utilized
    • Digital receipts and confirmations provided

    10.3 Software & Technology

    • Industry-standard software including 3ds Max, V-Ray, Corona, and Photoshop
    • Regular software updates and patches applied
    • Compatibility with major file formats ensured
    • Technology stack documented and maintained
    • Legacy format support where feasible

    11. Accessibility Standards

    11.1 Digital Accessibility

    • WCAG 2.1 AA compliance standards for all digital deliverables
    • Alternative text, descriptions, and captions for visual content provided
    • High color contrast ratios ensuring excellent visibility and readability
    • Keyboard navigation support where applicable
    • Screen reader compatible formats available

    11.2 Communication Accessibility

    • Multiple communication channels including email, phone, text, and video
    • Plain language summaries available on request
    • Extended response times for accessibility needs
    • Sign language interpretation arrangeable

    • Infrastructure failures beyond control

    15.2 Procedures & Remedies

    • Immediate notification of force majeure events
    • Mitigation efforts and alternative solutions
    • Suspension of obligations during event
    • Resumption procedures post-event
    • No liability for force majeure delays

    16. Insurance & Liability Coverage

    16.1 Insurance Policies

    • Professional indemnity insurance with £2 million coverage limit
    • Public liability insurance £5M coverage
    • Cyber liability insurance for data breaches
    • Employers liability insurance maintained
    • Certificates of insurance available on request

    16.2 Coverage Details

    • Design errors, omissions, mistakes, and oversights fully covered
    • Copyright infringement claims protection

    • Legal defense costs covered
    • Worldwide coverage with UK jurisdiction

    17. Subcontracting Terms

    17.1 Subcontractor Engagement

    • Primary liability remains with VisuArchitect
    • Client notification for significant subcontracting

    • Direct client contact prohibited

    18. Version Control

    Jurisdiction & Legal Venue

    These Terms shall be governed by, construed under, and interpreted according to the laws of England and Wales, without regard to conflict of law principles, provisions, or rules.

    Any disputes, claims, or proceedings arising from these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales, specifically:

    • Small claims: County Court Money Claims Centre
    • Commercial disputes: High Court of Justice, Queen's Bench Division
    • Intellectual property: Intellectual Property Enterprise Court (IPEC)
    • Data protection: Information Commissioner's Office (ICO) procedures

    Alternative venues outside of primary courts may be agreed upon in writing by both parties.

    By commissioning, ordering, or engaging work from VisuArchitect, you acknowledge, confirm, and warrant that you have read, reviewed, understood, and comprehended these Terms of Service in their entirety. These Terms constitute, form, and create a legally binding, enforceable, and valid agreement, contract, and arrangement between you (the Client) and VisuArchitect Limited (the Company).

    Methods of acceptance include but are not limited to: electronic signature, email confirmation, payment of deposit, commencement of project, continued use of services, clicking "accept", verbal agreement, or written confirmation.

    Legal Notice - Important Information

    If you do not agree, accept, or consent to these Terms, you must not use, engage, or commission our services. Your use constitutes acceptance, agreement, consent, and approval of all terms, conditions, and provisions herein.
